Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (“you” or “your”) and Code Supply, LLC, a Washington limited liability company (“Code Supply,” “we,” “us,” or “our”). These Terms govern your access to and use of our website at codesupply.com (the “Site”), our AI agents (including SMS demo chatbots, messaging, and voice agents), and any other services we make available (collectively, the “Services”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

The Services are intended for users in the United States who are at least 18 years old (or the age of majority in your jurisdiction). The Services are not directed to children under 13, and you may not use the Services if you are under 13. By using the Services you represent that you meet these requirements.

2. The Services

Code Supply provides custom computer services, including the design, development, and operation of AI agents for customer experience across SMS, RCS, messaging platforms, and voice. We may add, change, or discontinue features of the Services at any time. Some features (including demo agents) are provided for evaluation purposes and may be modified or removed without notice.

3. SMS and Text Messaging Program

Our SMS program operates on Application-to-Person (A2P) 10DLC and toll-free numbers in the United States and consists of two categories of messaging:

  • Consumer-initiated AI chatbots (including demos). You start the conversation by texting one of our published numbers. By initiating the conversation you consent to receive replies from the chatbot. Message frequency varies based on your interaction.
  • Appointment reminders for existing customers. If you are an existing customer of Code Supply and have provided your mobile number with consent to receive reminders, we may send you up to three (3) reminder messages per appointment. We do not send appointment reminders without prior opt-in.

Code Supply does not send marketing or promotional text messages. Consent to receive SMS messages is not a condition of any purchase.

Opting out and getting help

Reply STOP to any message to opt out. You will receive a single confirmation message and no further messages from that program. To opt back in, reply START or contact us at . Reply HELP for assistance, email , or call 2533236700.

Carriers and rates

Message and data rates may apply. Check with your wireless carrier for details. Wireless carriers are not liable for delayed or undelivered messages. Supported carriers may change at any time without notice.

Service provider

We use Zoom as our SMS and voice infrastructure provider. Zoom’s phone and text messaging policy is available at zoom.com/en/trust/zoom-phone-text-messaging-policy.

Accurate phone numbers

You agree that any mobile number you provide is yours and that you have authority to receive messages at that number. If your mobile number changes, notify us at .

4. Voice Calls

Voice interactions with our AI agents may be recorded and transcribed for service delivery, quality assurance, and improvement. We provide notice of recording where required by law. You may decline a recording at any time by ending the call. Voice calls are not used to deliver marketing or promotional content.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any law or regulation, including telecommunications and consumer protection laws;
  • Send spam, harassing, threatening, defamatory, or unlawful content;
  • Impersonate another person or misrepresent your affiliation with any person or entity;
  • Attempt to reverse engineer, scrape, overload, or interfere with the Services;
  • Access non-public areas of the Services or accounts not belonging to you;
  • Use the Services in any manner that could damage, disable, or impair Code Supply or any wireless carrier’s systems.

6. Demo Agents

AI agents and demos made available on the Site are provided for illustrative and evaluation purposes only. Output from an AI agent may be inaccurate, incomplete, or unsuitable for a particular purpose. You should not rely on demo agents for medical, legal, financial, safety, or other decisions, and you should independently verify any information of consequence. Do not share sensitive personal information, government identifiers, financial account details, payment card data, protected health information, or other regulated data with a demo agent.

7. Intellectual Property

The Site and Services, including all text, graphics, software, AI models, prompts, designs, and other content provided by Code Supply, are owned by Code Supply or its licensors and are protected by United States and international intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. All other rights are reserved.

You retain any rights you have in content you submit through the Services. You grant Code Supply a worldwide, royalty-free, non-exclusive license to use, host, store, reproduce, and create derivative works of that content for the limited purposes of operating, providing, and improving the Services, including by way of human review of conversation transcripts as described in our Privacy Policy.

8. Privacy

Our collection and use of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

The Services may link to or rely on third-party services (including Zoom, wireless carriers, and messaging platforms). Code Supply is not responsible for the content, policies, or practices of any third party. Use of a third-party service is subject to that party’s terms and policies.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. CODE SUPPLY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI AGENT OUTPUTS WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CODE SUPPLY, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS IN THIS SECTION, AND THOSE LIMITATIONS WILL APPLY ONLY TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Code Supply, its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, including for any conduct that we reasonably believe violates these Terms or applicable law. The provisions of these Terms that by their nature should survive termination will survive, including Sections 7 through 12 and 14 through 16.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services that is not subject to arbitration or small-claims jurisdiction shall be brought exclusively in the state or federal courts located in Pierce County, Washington, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, when changes are material, provide additional notice through the Services or by other reasonable means. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

16. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Code Supply regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
